TERMS OF SERVICE Last Updated: May 24, 2026 Welcome to Typewriter, a product of Front Street Software LLC ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of https://trytypewriter.com, the Typewriter desktop application, AI features, billing dashboard, and related services (collectively, the "Service"). By using Typewriter, creating an account, accepting legal terms, or purchasing a paid plan, you agree to these Terms, our Privacy Policy at https://trytypewriter.com/legal/privacy-policy, and our End User License Agreement at https://trytypewriter.com/legal/end-user-license-agreement. If you do not agree, do not use the Service. --- 1. Use of the Service You must be at least 18 years old and able to form a binding contract to use Typewriter. You are responsible for your account, password, devices, activity, and all content submitted through your account. You agree to use the Service only for lawful purposes and in accordance with these Terms. --- 2. User Content and Intellectual Property You retain ownership of screenplays, scripts, notes, prompts, files, and other creative material you create or submit to Typewriter ("User Content"). We do not claim ownership of your User Content. You grant us the rights described in the End User License Agreement so we can provide, operate, secure, support, improve, train, evaluate, and develop Typewriter, related services, and AI features. We do not sell your identifiable scripts or publicly expose them except as you direct, as needed to provide the Service, as described in our Privacy Policy, or as required by law. Typewriter, including its software, website, designs, trademarks, workflows, code, models, prompts, infrastructure, and other Service materials, is owned by Front Street Software LLC or its licensors. Except for the limited license we grant you, all rights are reserved. --- 3. AI Features Typewriter uses third-party AI providers and other infrastructure providers. AI output may be inaccurate, incomplete, offensive, similar to output received by others, or unsuitable for your use. You are responsible for reviewing, editing, clearing rights to, and deciding whether to use any output. We may meter AI usage by request, model, token count, provider cost, infrastructure cost, or another reasonable usage metric. We may set usage limits, block abusive requests, change available models, and suspend AI access where needed for billing, safety, security, provider availability, or legal reasons. --- 4. Subscriptions, Billing, and Pay As You Go By purchasing a paid plan, enabling Pay As You Go, or otherwise using paid features, you agree to the following: - You will provide accurate and complete payment information. - Subscriptions renew automatically at the end of each billing cycle unless you cancel before renewal. - You authorize us and Stripe to charge your payment method for subscriptions, Pay As You Go usage, taxes, failed-payment retries, and other applicable fees. - Paid plans may include a monthly or trial AI balance. Typewriter applies included balance first before eligible Pay As You Go usage is billed. - Pay As You Go is opt-in. If enabled, additional eligible AI usage after your included balance reaches zero accrues based on actual AI usage costs recorded by Typewriter, up to the monthly Pay As You Go limit you set. - Pay As You Go charges may accrue request-by-request and may be batched through Stripe daily, added to a pending invoice, charged immediately, or collected on a later invoice. - Disabling Pay As You Go or lowering your limit affects future AI usage only. Usage already accrued, outstanding, batched, invoiced, or pending remains billable. - If your Pay As You Go monthly limit is reached, AI usage may pause until the next billing cycle, until you increase your limit, or until additional included balance becomes available. - If a Pay As You Go invoice or payment fails, AI usage and Pay As You Go access may be placed on hold until the unpaid amount is collected or your billing details are updated. - We may change subscription pricing, features, or available tiers at any time with at least thirty (30) days' notice. Continued use after a pricing change takes effect constitutes your acceptance of the new pricing. - We may discontinue, modify, or consolidate subscription tiers at our discretion. If your current tier is discontinued, we will notify you and may migrate you to the nearest available tier. - Failure to make timely payments may result in suspension, downgrade, billing hold, or termination of access to the Service. --- 5. Cancellation and Refunds You may cancel your subscription through the dashboard, Stripe billing portal, or another cancellation method we provide. Cancellation stops future renewals but does not automatically refund the current billing period, waive accrued Pay As You Go usage, or cancel outstanding invoices. Payments are non-refundable except where required by law, expressly stated by us in writing, or issued at our sole discretion. We do not provide refunds or credits for partial billing periods, unused features, subscription downgrades, unused included balance, disabled Pay As You Go, or usage you authorized. If you believe you were charged in error, contact us at hello@trytypewriter.com within fourteen (14) days of the charge. --- 6. Prohibited Conduct You agree not to: - Use the Service for any unlawful or fraudulent purpose. - Attempt to gain unauthorized access to our systems or networks. - Copy, modify, reproduce, distribute, sell, or create derivative works from the Service or any part thereof without our written permission. - Reverse engineer, decompile, scrape, probe, or attempt to extract source code, models, prompts, system behavior, keys, or non-public functionality except where law expressly prohibits this restriction. - Use the Service to develop, benchmark, train, or improve a competing product or model without our written permission. - Submit content that infringes, violates privacy rights, contains malware, or you do not have the right to use. - Interfere with or disrupt the operation or security of the Service. --- 7. Suspension and Termination We may suspend, limit, downgrade, or terminate access to the Service if you violate these Terms, create legal or security risk, fail to pay amounts owed, exceed usage limits, abuse AI features, or if we discontinue the Service. You may stop using Typewriter at any time. Termination does not affect accrued charges, outstanding invoices, payment obligations, intellectual property rights, disclaimers, liability limits, dispute terms, or provisions that by their nature should survive. --- 8. Disclaimer of Warranties The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We make no guarantees regarding availability, reliability, or suitability for your particular purpose. Your use of the Service is at your sole risk. We do not warrant that Typewriter, AI providers, AI outputs, billing systems, or third-party services will be accurate, uninterrupted, secure, error-free, or meet your creative, legal, commercial, guild, production, or formatting requirements. --- 9. Limitation of Liability To the fullest extent permitted by law, Front Street Software LLC, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service. To the extent liability cannot be fully disclaimed, our total cumulative liability for all claims relating to the Service will not exceed the greater of one hundred U.S. dollars ($100.00) or the amount you paid to us for the Service during the three (3) months before the event giving rise to the claim. --- 10. Dispute Resolution and Arbitration PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. You and Front Street Software LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Wyoming or, at your election, by phone or video. The arbitrator's decision will be final and binding. CLASS ACTION WAIVER: YOU AND FRONT STREET SOFTWARE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. OPT-OUT: You may opt out of this arbitration agreement by sending written notice to hello@trytypewriter.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, the Governing Law section below applies. --- 11. Governing Law To the extent any dispute is not subject to arbitration, these Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any such dispute shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to personal jurisdiction in these courts and waive any objection to venue. --- 12. Electronic Communications and Changes By using Typewriter, you consent to receive communications from us electronically, including by email and in-app notifications. You agree that all notices, agreements, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. We may update these Terms from time to time. We will notify you of material changes by email, in-app notice, or another reasonable method. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Service. --- 13. General If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or by operation of law. --- 14.
