TERMS OF SERVICE Last Updated: July 16, 2026 These Terms of Service ("Terms") are a binding agreement between you and Front Street Software LLC ("Typewriter," "we," "our," or "us"). They govern your access to and use of trytypewriter.com, Typewriter accounts, hosted AI features, billing services, and related services (collectively, the "Service"). The Typewriter desktop application is also governed by the End User License Agreement at https://trytypewriter.com/legal/end-user-license-agreement ("EULA"). Our Privacy Policy at https://trytypewriter.com/legal/privacy-policy describes how we handle information. By creating an account, accessing or using the Service, purchasing Prepaid Balance, or enabling paid features, you agree to these Terms and the EULA and acknowledge the Privacy Policy. If you do not agree, do not use the Service. --- 1. Eligibility and Accounts You must be at least 18 years old and legally able to enter into this agreement. You are responsible for your account, credentials, devices, activity, and all use of the Service through your account. You must provide accurate information, keep your account secure, and notify us promptly of suspected unauthorized use. --- 2. The Service and AI Features Typewriter provides writing software and optional AI features. We may add, remove, limit, modify, suspend, or discontinue any feature, model, integration, usage limit, or part of the Service at any time. AI features rely on third-party services. AI output may be inaccurate, incomplete, offensive, non-unique, infringing, or otherwise unsuitable. You are solely responsible for reviewing, editing, fact-checking, clearing rights to, and deciding whether and how to use any output. Typewriter is not a legal, guild, studio, agency, medical, financial, or other professional adviser or confidentiality service. You retain any rights you have in your User Content. You grant us the rights described in the EULA to process and use User Content in connection with Typewriter and related services. --- 3. Prepaid Balance and Billing You may purchase a U.S.-dollar-denominated balance for eligible paid features ("Prepaid Balance"). Paid AI usage is deducted from your Prepaid Balance at the rates displayed in the Service when the usage occurs. Rates, available models, metering methods, and usage limits may change prospectively at any time. You authorize us and our payment processors to charge your selected payment method for amounts you choose and approve, together with any taxes or charges displayed before payment. We may correct billing errors, reverse duplicate, fraudulent, disputed, or refunded transactions, and adjust your Prepaid Balance accordingly. Prepaid Balance may be used only within the Service. It is nontransferable, does not earn interest, is not a bank account or deposit, and is not redeemable for cash or refundable except where required by law or approved by us in our discretion. Unless stated otherwise when purchased, Prepaid Balance remains available while your account and the Service remain active. Insufficient Prepaid Balance prevents new paid AI usage but does not by itself prevent use of the local desktop editor. --- 4. Auto-Reload Auto-Reload is optional. If you enable it, you select a balance threshold and reload amount and authorize us and our payment processors to charge your saved payment method for that amount whenever your Prepaid Balance reaches or falls below the threshold, including immediately after Auto-Reload is enabled if your balance is already below the threshold. Auto-Reload charges may repeat as you use paid features and will continue until you disable Auto-Reload in your dashboard. Disabling Auto-Reload applies to future charges and does not reverse charges already initiated or completed. A failed or disputed charge may disable Auto-Reload or restrict paid features. --- 5. Refunds and Payment Disputes Except where required by law or approved by us in our discretion, purchases and settled usage charges are final and nonrefundable. If we issue a refund, reverse a transaction, or receive a chargeback, we may reduce the related Prepaid Balance and restrict paid features while the matter is resolved. Contact hello@trytypewriter.com promptly if you believe a charge is incorrect. Nothing in these Terms limits rights that cannot lawfully be waived. --- 6. Acceptable Use You may not: - Use the Service unlawfully, fraudulently, abusively, or to violate another person's rights. - Submit content you do not have the right to use or that contains malware or other harmful material. - Interfere with, disrupt, overload, probe, scrape, or gain unauthorized access to the Service or related systems. - Bypass account, license, billing, usage, safety, or security controls. - Copy, modify, reproduce, distribute, resell, rent, sublicense, or commercially provide the Service except as expressly permitted. - Reverse engineer, decompile, disassemble, or attempt to extract source code, prompts, models, keys, system behavior, or non-public functionality except to the extent this restriction is prohibited by law. - Use the Service or its output to build, benchmark, train, or improve a competing product or model without our written permission. --- 7. Typewriter Intellectual Property The Service, including its software, website, designs, documentation, trademarks, workflows, prompts, models, integrations, and infrastructure, is owned by Typewriter or its licensors. Except for rights expressly granted in these Terms or the EULA, all rights are reserved. You may provide feedback, and we may use it without restriction, attribution, or compensation. --- 8. Suspension and Termination We may suspend, limit, or terminate your access to all or part of the Service if we reasonably believe you violated these Terms, created legal, security, fraud, abuse, or payment risk, failed to pay an amount owed, or if we modify or discontinue the Service. You may stop using the Service at any time. Termination does not affect completed transactions, amounts owed, billing corrections, licenses already granted to us, or provisions that by their nature should survive. --- 9. Third-Party Services The Service may depend on or link to third-party products and services, including payment, authentication, hosting, analytics, advertising, and AI services. We do not control and are not responsible for third-party products, terms, policies, availability, security, or conduct. Your use of third-party services may be governed by separate terms. --- 10. Disclaimer of Warranties TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR DATA PRESERVATION. WE DO NOT WARRANT THAT THE SERVICE, AI OUTPUT, BILLING SYSTEMS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR CREATIVE, LEGAL, COMMERCIAL, PRODUCTION, GUILD, OR FORMATTING REQUIREMENTS. YOU USE THE SERVICE AT YOUR OWN RISK. --- 11. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, TYPEWRITER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, CONTENT, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO US DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These exclusions and limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not exclude liability or rights that cannot be excluded under applicable law. --- 12. Indemnification To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Typewriter and its affiliates, officers, employees, contractors, and agents from claims, damages, losses, liabilities, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your User Content, your use of the Service, your violation of these Terms, or your violation of law or another person's rights. --- 13. Dispute Resolution and Arbitration PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Except for eligible small-claims matters, you and Front Street Software LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the EULA, or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Wyoming or, at your election, by phone or video. The arbitrator's decision will be final and binding. CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND FRONT STREET SOFTWARE LLC MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. OPT-OUT: You may opt out of this arbitration agreement by sending your name, account email address, and a clear opt-out statement to hello@trytypewriter.com within thirty (30) days after first accepting these Terms. If you opt out, Section 14 governs disputes between us. --- 14. Governing Law To the extent a dispute is not subject to arbitration, these Terms, the EULA, and the Service are governed by Wyoming law, without regard to conflict-of-law principles. Any such dispute must be brought exclusively in the state or federal courts located in Wyoming, and you consent to their personal jurisdiction and venue, except where applicable law requires otherwise. --- 15. Electronic Communications, Changes, and General Terms You agree to receive notices and communications from us electronically. We may update these Terms by posting revised Terms. Unless otherwise stated or required by law, changes are effective when posted, and continued use after that time constitutes acceptance. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign these Terms, in whole or in part, in connection with a financing, reorganization, merger, acquisition, sale, transfer, or by operation of law. We are not liable for delay or failure caused by circumstances beyond our reasonable control. These Terms, together with the EULA and any additional terms presented for a feature or transaction, form the agreement between you and us regarding the Service. If the EULA conflicts with these Terms solely regarding the desktop-software license, the EULA controls; otherwise, these Terms control. --- 16.
