END USER LICENSE AGREEMENT

This Agreement is between you and Front Street Software LLC ("Typewriter," "we," "us") and governs your use of the Typewriter application and website at https://trytypewriter.com.
By using Typewriter, you agree to these terms.

1. What We're Giving You
A license to use Typewriter for personal or commercial screenwriting work. This license is non-exclusive, non-transferable, and revocable if you violate these terms.

2. Who Owns What
We own the software. You own your screenplays.
Your work belongs to you. We claim no ownership of the scripts, notes, or other content you create with Typewriter ("User Content").

3. How We Use Your Data
By using Typewriter, you grant us a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, copy, process, adapt, modify, publish, and create derivative works from your User Content for any purpose, including but not limited to:
- Operating, providing, and improving Typewriter
- Training, developing, and improving machine learning and AI models
- Creating and commercializing products, services, or features derived from aggregated or anonymized data
- Research and analytics
This license survives termination of your account. We may exercise these rights without notice, approval, or compensation to you.
You represent that you have all necessary rights to grant this license and that your User Content does not infringe any third party's rights.
We are not liable for how we use your data in accordance with this license, including any products, models, or services we create or derive from it.

4. Feedback
If you provide us with feedback, suggestions, ideas, or feature requests ("Feedback"), you assign to us all rights, title, and interest in that Feedback. We may use, implement, modify, commercialize, or incorporate Feedback into Typewriter or any other product without any obligation, compensation, or attribution to you.
You waive any claims relating to our use of Feedback, including any claims that such use infringes your intellectual property or proprietary rights.

5. What You Can't Do
- Reverse engineer or attempt to extract our source code
- Resell, redistribute, or sublicense the software
- Use Typewriter to build a competing product
- Use it for anything illegal

6. Service Availability
Typewriter is provided on an "as available" basis. We do not guarantee uptime, availability, or uninterrupted access.
We may modify, suspend, or discontinue any part of Typewriter at any time, with or without notice, for any reason. This includes features, pricing, and the service itself.
We are not liable for any downtime, service interruptions, data loss, or discontinuation of the service, regardless of cause.

7. Third-Party AI Services
Typewriter relies on third-party AI providers. We do not control these services and are not responsible for their availability, performance, accuracy, or output. Your User Content may be processed by these providers subject to their own terms.
We are not liable for any acts, omissions, outages, or outputs of third-party services.

8. No Warranties
TYPEWRITER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
WE DO NOT WARRANT THAT TYPEWRITER WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUT.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING FROM:
- Your use of or inability to use Typewriter
- Loss of profits, revenue, data, goodwill, or business
- Service interruptions, downtime, or discontinuation
- Errors, bugs, viruses, or security breaches
- Reliance on AI-generated output or any content
- Our use, processing, or commercialization of your data
- Products, services, or models derived from your data
- Actions, failures, or outputs of third-party services
- Any decision to modify, suspend, or terminate the service or your account
- Unauthorized access to your account or data
- Any other matter relating to Typewriter
TO THE EXTENT ANY LIABILITY CANNOT BE FULLY DISCLAIMED, OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED TEN U.S. DOLLARS ($10.00).
YOU ASSUME ALL RISK FROM YOUR USE OF TYPEWRITER. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU ACKNOWLEDGE THAT THIS LIMITATION OF LIABILITY IS AN ESSENTIAL TERM OF THIS AGREEMENT AND THAT WE WOULD NOT PROVIDE TYPEWRITER WITHOUT IT.

10. Indemnification
You agree to indemnify, defend, and hold harmless Typewriter and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of Typewriter
- Your User Content
- Your breach of this Agreement
- Your violation of any law or third-party rights
- Any dispute between you and a third party related to your use of Typewriter

11. Termination
We may suspend or terminate your access at any time, for any reason, with or without notice. You may stop using Typewriter at any time.
Upon termination, you will have thirty (30) days to export your User Content. After this period, we have no obligation to maintain or provide access to your data, except as required to exercise our rights under Section 3.
We may also terminate or downgrade accounts that have been inactive for twelve (12) consecutive months, with or without notice.
Upon termination, your license ends immediately. Sections 2, 3, 4, 6, 7, 8, 9, 10, 11, 12, 13, 14, and 15 survive termination.

12. Force Majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, pandemics, or the acts or omissions of third-party service providers (including AI providers, hosting services, and payment processors).

13. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Front Street Software LLC agree that any dispute, claim, or controversy arising out of or relating to this Agreement or Typewriter shall be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.
Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Wyoming or, at your election, by phone or video. The arbitrator's decision will be final and binding.
CLASS ACTION WAIVER: YOU AND FRONT STREET SOFTWARE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
OPT-OUT: You may opt out of this arbitration agreement by sending written notice to hello@trytypewriter.com within thirty (30) days of first accepting this Agreement. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, the Governing Law section below applies.

14. Governing Law and Disputes
To the extent any dispute is not subject to arbitration, this Agreement is governed by the laws of the State of Wyoming, without regard to conflict of law principles.
Any such dispute shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to personal jurisdiction in these courts and waive any objection to venue.

15. General
If any provision of this Agreement is unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. This Agreement is the entire agreement between us regarding Typewriter and supersedes any prior agreements.
We may assign this Agreement or any of our rights or obligations under it at any time, without notice or consent, including in connection with a merger, acquisition, or sale of assets. You may not assign this Agreement or any rights under it without our prior written consent.

16. Changes
We may update these terms at any time. We'll notify you of material changes by email or through the app. Continuing to use Typewriter after changes take effect means you accept them. If you don't agree, stop using the service.
