for Typewriter
END USER LICENSE AGREEMENT

This End User License Agreement ("EULA") is a binding agreement between you and Front Street Software LLC ("Typewriter," "we," "our," or "us"). It governs the Typewriter desktop application and updates we provide for it (collectively, the "Software"). Typewriter accounts, hosted AI features, billing, and related services are governed by the Terms of Service at https://trytypewriter.com/legal/tos ("Terms"). Our Privacy Policy at https://trytypewriter.com/legal/privacy-policy describes how we handle information.
By installing, accessing, or using the Software, you agree to this EULA and the Terms and acknowledge the Privacy Policy. If you do not agree, do not install or use the Software.

1. License
Subject to this EULA and the Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software for personal or commercial writing work. The Software is licensed, not sold, and no ownership rights are transferred to you.

2. Ownership and Third-Party Components
Typewriter and its licensors own the Software and related code, design, documentation, workflows, prompts, integrations, trademarks, and other materials. Except for the limited license granted above, all rights are reserved.
The Software includes third-party and open-source components. Those components are governed by their applicable licenses, and nothing in this EULA limits rights granted to you under those licenses.

3. User Content License
You retain any rights you have in screenplays, scripts, notes, prompts, files, instructions, selections, and other content you create, submit, or make available through Typewriter ("User Content"). You represent that you have all rights necessary to use User Content with Typewriter and to grant the license below.
You grant Typewriter a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, transmit, display, modify, adapt, analyze, create technical or derived data from, and otherwise use User Content and related interactions to:
- Provide, operate, maintain, secure, debug, support, and enforce Typewriter and related services.
- Route requests through infrastructure and AI providers and return output.
- Analyze usage and create aggregated, de-identified, statistical, technical, or derived data.
- Research, test, evaluate, improve, develop, and train Typewriter, related services, AI features, and machine-learning systems.
- Comply with law, enforce agreements, resolve disputes, and support business transactions.
This license lasts as long as reasonably necessary or permitted for these purposes and survives termination to the extent necessary for legal, security, dispute, research, analytics, derived-data, evaluation, training, and product-development purposes. No compensation is due for uses permitted by this license.

4. AI Features and Output
When you use hosted AI features, User Content and related information may be transmitted to and processed by third-party infrastructure and AI providers under their terms and policies. Typewriter does not control those providers or their services.
AI output may be inaccurate, incomplete, offensive, non-unique, infringing, or unsuitable. You are solely responsible for reviewing, editing, fact-checking, clearing rights to, and deciding whether and how to use any output. Typewriter makes no representation about the ownership, copyrightability, exclusivity, legality, or fitness of AI output.

5. Restrictions
Except to the extent a restriction is prohibited by law or an applicable open-source license, you may not:
- Copy, modify, distribute, resell, rent, lease, sublicense, host, or commercially provide the Software except as expressly permitted.
- Reverse engineer, decompile, disassemble, or attempt to extract source code, prompts, models, keys, system behavior, or non-public functionality.
- Remove or alter proprietary notices.
- Bypass account, license, billing, usage, safety, or security controls.
- Use the Software or its output to build, benchmark, train, or improve a competing product or model without our written permission.
- Use the Software unlawfully, fraudulently, abusively, or in a way that violates another person's rights.

6. Updates and Availability
We may update, modify, limit, replace, suspend, or discontinue any part of the Software at any time. The Software may automatically check for updates or require an update to continue working. We do not guarantee continued availability, compatibility, support, data preservation, or access to any feature, model, or integration.
You are responsible for maintaining backups of files stored on your device. The Software is not a backup or archival service.

7. Feedback
If you provide feedback, suggestions, ideas, requests, or bug reports, you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, modify, commercialize, and incorporate them into any product or service without obligation, attribution, or compensation.

8. Terms of Service
The Terms govern accounts, hosted AI features, payments, Prepaid Balance, Auto-Reload, acceptable use, suspension, third-party services, warranties, liability, indemnification, disputes, arbitration, and governing law, and those provisions are incorporated into this EULA. The Privacy Policy describes our information practices.
If this EULA conflicts with the Terms solely regarding the license to the desktop Software, this EULA controls. Otherwise, the Terms control.

9. Termination
This EULA remains effective until terminated. You may terminate it by stopping use of and uninstalling the Software. We may suspend or terminate this license if you violate this EULA or the Terms, create legal or security risk, or if we discontinue the Software.
Upon termination, your license ends and you must stop using the Software. Termination does not affect licenses already granted to us or provisions that by their nature should survive, including ownership, User Content licenses, restrictions, feedback rights, disclaimers, liability limitations, indemnification, dispute terms, and general provisions.

10. Changes and General Terms
We may update this EULA by posting a revised version. Unless otherwise stated or required by law, changes are effective when posted, and continued use after that time constitutes acceptance.
If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign this EULA without our written consent. We may assign this EULA, in whole or in part, in connection with a financing, reorganization, merger, acquisition, sale, transfer, or by operation of law.
