END USER LICENSE AGREEMENT

This End User License Agreement ("Agreement") is between you and Front Street Software LLC ("Typewriter," "we," "us," or "our") and governs your use of the Typewriter desktop application, website, AI features, and related software and services at https://trytypewriter.com (collectively, the "Software").
By installing, accessing, or using Typewriter, you agree to this Agreement, our Terms of Service at https://trytypewriter.com/legal/tos, and our Privacy Policy at https://trytypewriter.com/legal/privacy-policy. If you do not agree, do not use Typewriter.

1. License
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use Typewriter for personal or commercial screenwriting work during the period you are authorized to use the Software.
This license is for use of the Software only. It does not transfer ownership of Typewriter, its code, designs, prompts, systems, models, trademarks, or other intellectual property.

2. Ownership
We own Typewriter and all related software, design, workflows, websites, documentation, infrastructure, prompts, model integrations, trademarks, and other materials. You own the scripts, notes, prompts, files, and other creative material you create or submit to Typewriter ("User Content").
You represent that you have all rights needed to submit User Content to Typewriter and to grant the rights in this Agreement. You are responsible for ensuring your User Content and use of AI output do not violate law or third-party rights.

3. User Content License
You grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, process, transmit, display, adapt, analyze, create technical or derived data from, and otherwise use User Content as needed to:
- Provide, operate, secure, support, debug, and maintain Typewriter
- Route requests to AI providers and return AI outputs
- Enforce usage limits, legal terms, safety rules, and billing rules
- Calculate included balance, Pay As You Go usage, actual AI usage costs, daily Stripe batches, invoices, and payment holds
- Improve, evaluate, train, fine-tune, test, and develop Typewriter, related services, AI features, and machine learning systems
- Create and use aggregated, anonymized, de-identified, statistical, or derived data for analytics, research, benchmarking, product development, and commercial purposes
This license lasts as long as needed for these purposes and survives termination where necessary for billing, legal compliance, backups, security, dispute handling, aggregated or de-identified data, model evaluation, model training, and product development. We may exercise these rights without notice, approval, attribution, or compensation to you.
We do not sell your identifiable scripts or publicly expose them except as you direct, as needed to provide the Software, as described in the Privacy Policy, in connection with a business transfer, or as required by law.

4. Confidentiality and Providers
Typewriter is not a legal, guild, studio, agency, medical, financial, or professional confidentiality service. We take reasonable steps to protect User Content, but User Content may be processed by Typewriter, our infrastructure providers, payment providers, AI providers, support tools, analytics tools, and other vendors needed to provide and improve the Software.
Where commercially reasonable, we use contractual, technical, or administrative controls intended to protect non-public User Content. No internet-connected system is guaranteed secure.

5. Feedback
If you provide feedback, suggestions, ideas, requests, or bug reports ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free right to use, implement, modify, commercialize, and incorporate that Feedback into Typewriter or any other product without obligation, attribution, or compensation.

6. Restrictions
You may not:
- Reverse engineer, decompile, disassemble, or attempt to extract source code, prompts, system behavior, keys, models, or non-public functionality except where law expressly prohibits this restriction
- Resell, redistribute, sublicense, rent, lease, host, or commercially provide the Software to third parties without our written permission
- Use Typewriter to build, train, benchmark, or improve a competing product or model without our written permission
- Remove proprietary notices or bypass usage limits, billing controls, license checks, or security measures
- Use Typewriter unlawfully, fraudulently, abusively, or in a way that infringes third-party rights

7. AI Features and Output
Typewriter relies on third-party AI providers. We do not control those providers and are not responsible for their availability, policies, training practices, performance, accuracy, security, or output. User Content may be processed by those providers subject to their own terms and policies.
AI output may be inaccurate, incomplete, offensive, legally risky, non-unique, or unsuitable for your project. You are responsible for reviewing, editing, fact-checking, clearing rights to, and deciding whether to use any AI output.

8. Billing and Pay As You Go
Subscriptions, payments, refunds, cancellations, included balance, and Pay As You Go are governed by the Terms of Service. Pay As You Go is opt-in, applies only after included AI balance reaches zero, accrues based on actual AI usage costs recorded by Typewriter, may be batched through Stripe daily, is capped by your configured monthly limit, and may pause on failed payment.
Disabling Pay As You Go or lowering your limit affects future usage only. Already accrued, outstanding, batched, invoiced, or pending Pay As You Go usage remains billable.

9. Updates and Availability
We may update, modify, suspend, discontinue, limit, or replace any part of Typewriter at any time. Features, models, pricing, usage limits, and third-party integrations may change. The Software may automatically check for updates or require updates to continue working.
Typewriter is provided on an "as available" basis. We do not guarantee uptime, uninterrupted access, backwards compatibility, data preservation, or continued availability of any feature or model.

10. No Warranties
TYPEWRITER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
WE DO NOT WARRANT THAT TYPEWRITER, AI PROVIDERS, AI OUTPUTS, BILLING SYSTEMS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, ERROR-FREE, SECURE, AVAILABLE, OR SUITABLE FOR YOUR CREATIVE, LEGAL, COMMERCIAL, PRODUCTION, OR FORMATTING NEEDS.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING FROM:
- Your use of or inability to use Typewriter
- Loss of profits, revenue, data, goodwill, or business
- Service interruptions, downtime, or discontinuation
- Errors, bugs, viruses, or security breaches
- Reliance on AI-generated output or any content
- Our permitted use, processing, or improvement of products, services, AI features, or models using User Content, aggregated data, de-identified data, or derived data
- Actions, failures, or outputs of third-party services
- Any decision to modify, suspend, or terminate the service or your account
- Unauthorized access to your account or data
- Billing holds, failed payments, usage limits, accrued Pay As You Go charges, or Stripe processing
- Any other matter relating to Typewriter
TO THE EXTENT ANY LIABILITY CANNOT BE FULLY DISCLAIMED, OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO US FOR TYPEWRITER DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
YOU ASSUME ALL RISK FROM YOUR USE OF TYPEWRITER. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU ACKNOWLEDGE THAT THIS LIMITATION OF LIABILITY IS AN ESSENTIAL TERM OF THIS AGREEMENT AND THAT WE WOULD NOT PROVIDE TYPEWRITER WITHOUT IT.

12. Indemnification
You agree to indemnify, defend, and hold harmless Typewriter and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of Typewriter
- Your User Content
- Your breach of this Agreement
- Your violation of any law or third-party rights
- Any dispute between you and a third party related to your use of Typewriter

13. Termination
We may suspend or terminate your access at any time if you violate this Agreement, fail to pay amounts owed, create legal or security risk, abuse the Service, or if we discontinue Typewriter. You may stop using Typewriter at any time.
Upon termination, your license ends immediately. Termination does not waive accrued charges, outstanding invoices, payment obligations, usage records, or any rights and obligations that by their nature should survive.
We may delete, retain, or restrict access to User Content after termination as described in the Privacy Policy and Terms of Service.
Sections 2 through 18 survive termination.

14. Force Majeure
We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, pandemics, or the acts or omissions of third-party service providers (including AI providers, hosting services, and payment processors).

15. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Front Street Software LLC agree that any dispute, claim, or controversy arising out of or relating to this Agreement or Typewriter shall be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.
Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Wyoming or, at your election, by phone or video. The arbitrator's decision will be final and binding.
CLASS ACTION WAIVER: YOU AND FRONT STREET SOFTWARE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
OPT-OUT: You may opt out of this arbitration agreement by sending written notice to hello@trytypewriter.com within thirty (30) days of first accepting this Agreement. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, the Governing Law section below applies.

16. Governing Law and Disputes
To the extent any dispute is not subject to arbitration, this Agreement is governed by the laws of the State of Wyoming, without regard to conflict of law principles.
Any such dispute shall be resolved exclusively in the state or federal courts located in Wyoming. You consent to personal jurisdiction in these courts and waive any objection to venue.

17. General
If any provision of this Agreement is unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. This Agreement is the entire agreement between us regarding Typewriter and supersedes any prior agreements.
We may assign this Agreement or any of our rights or obligations under it at any time, without notice or consent, including in connection with a merger, acquisition, or sale of assets. You may not assign this Agreement or any rights under it without our prior written consent.

18. Changes
We may update this Agreement from time to time. We will notify you of material changes by email, in-app notice, or another reasonable method. Continuing to use Typewriter after changes take effect means you accept the updated Agreement. If you do not agree, stop using Typewriter.
